Communiqué On The Signing Of A Company’s Article Of Association (“AoA”) at Trade Registry Directorates (“Directorate”) has entered into force with the publication of Official Gazette dated December 6, 2016 that regulates operating and procedures of signing an AoA in establishment phase and preparing statement of signature at directorates.
AoA prepared within MERSİS (Central Registry Record System) shall be signed in directorates of company’s establishment location with the participation of founders or their representatives. In case of being hearing/visually impaired, non-speaker of Turkish language, illiterate, non-citizen of Turkey or attaining majority of founders and representatives were arranged clearly.
In accordance with the communiqué, after conformation of founders and representatives ID’s, such individuals shall submit a declaration and copy of AoA and sign it before the Manager of Directorate; then Directorate officer shall sign and seal the AoA. A script of the sealed AoA must be kept by Trade Registry Directorates. In case the company officials do not apply in 3 months following signing, the company officials shall state a written declaration implying their will for the incorporation.
